Terms of Service

The agreement between Zinc and the people and organizations using the Services.

These Terms of Service (the "Terms") are an agreement between Zinc Technologies Inc. ("Zinc," "we," or "us") and you, the person or organization using Zinc's websites, products, and services (the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of an organization, you agree to these Terms on its behalf and confirm that you have authority to do so. You must be at least 18 years old to use the Services.

If you have signed a separate agreement with Zinc, that agreement controls where it conflicts with these Terms.

We may change these Terms or the Services at any time. When we update these Terms, we will post the new version on this page and update the date above. Your continued use of the Services after an update means you accept the revised Terms.

1. Using the Services

You may need an account to use some Services. You agree to provide accurate information and keep it up to date. You are responsible for all activity that occurs under your account and credentials, including API keys and any connected applications, whether or not you authorized it. Please keep your credentials secure and tell us promptly at support@zinc.com if you believe they have been compromised.

If you allow software, an AI agent, or another person to use the Services through your account or credentials, you are responsible for its actions as if they were your own.

Some features may be offered as test, preview, or beta features. These are provided as-is, may change or be discontinued at any time, and may not work as expected.

2. Purchases

The Services let you request purchases of products from third-party online stores and sellers ("Retailers"). When you submit a purchase request, you authorize Zinc to complete that purchase for you and to charge you for it. You are responsible for the accuracy of each request, including the products, quantities, prices, and shipping details, and for obtaining any approvals you need before submitting it.

Purchases are subject to the Retailer's own terms and policies, including those on pricing, availability, shipping, warranties, and returns. We do not control Retailers or carriers and are not responsible for their products, performance, or decisions. We do not guarantee that any purchase will be completed, delivered on time, or accepted by a Retailer, or that any cancellation or return will be successful. Product information shown through the Services comes from Retailers and other sources and may be incomplete or inaccurate.

We may refuse, cancel, or limit any purchase request at our discretion, including for suspected fraud, pricing errors, or restricted products.

3. Fees and payment

You agree to pay the cost of each purchase made through your account, including any taxes, shipping, and Retailer fees, plus Zinc's fees as shown on our website or otherwise provided to you. We may change our fees at any time. You authorize us and our payment processors to charge your selected payment method or account balance for amounts you owe.

Any funds you add to your account are a prepayment for the Services. They are not a deposit, do not earn interest, and may be used only for the Services. If a purchase is cancelled or fails before it is completed, we will refund the amount charged for it as described on our website. Otherwise, fees are non-refundable except where required by law.

Please contact us before disputing a charge with your bank or card issuer. We may suspend your account while a dispute is open, and you remain responsible for purchases completed as you requested.

4. Your responsibilities

You agree to use the Services only in compliance with these Terms and all applicable laws. If you build a product or service on top of Zinc, or use Zinc to make purchases for other people, you are responsible for that product or service and for those people, including providing any required notices and obtaining any required consents.

You may not use the Services to buy illegal, unsafe, or restricted products; to commit fraud or use payment methods you are not authorized to use; to violate the rights of others or the terms of any Retailer in a way that harms Zinc or that Retailer; or to purchase for or ship to any person, entity, or place subject to sanctions. You also may not interfere with the Services, attempt to access them in unauthorized ways, reverse engineer them, or use them to build a competing service.

We may investigate suspected violations and take any action we consider appropriate, including cancelling purchases, holding funds connected to them, and suspending access.

5. Your data

You keep ownership of the information you provide to the Services. You grant Zinc permission to use, store, and share that information as needed to provide, secure, support, and improve the Services, and as described in our Privacy Policy. You confirm that you have the rights and permissions needed to provide it, including any information about other people.

If you give us access to accounts you hold with Retailers or other services, you confirm that you are allowed to do so, and you authorize us to access and use those accounts to provide the Services. You remain responsible for those accounts and your relationship with the services that provide them.

We may use data about how the Services are used and perform to operate and improve them.

6. Third-party services and ownership

The Services work with products and services provided by others, such as Retailers, carriers, payment processors, and AI assistants and other applications you choose to connect. Those third parties have their own terms and policies, and we are not responsible for them, for their availability, or for any content or output they provide. Names and trademarks of third parties belong to their owners and do not imply any affiliation with or endorsement of Zinc.

Zinc and its licensors own the Services and all related software, documentation, and trademarks. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to use the Services. If you send us feedback or suggestions, we may use them without any obligation to you. We may identify you as a customer unless you ask us not to.

7. Disclaimers and limitation of liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ZINC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZINC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE, AND MAKES NO WARRANTY ABOUT ANY PRODUCT PURCHASED THROUGH THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ZINC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES. ZINC'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID ZINC IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS ($100). THE COST OF PRODUCTS PURCHASED THROUGH THE SERVICES IS NOT A FEE PAID TO ZINC.

You agree to defend, indemnify, and hold harmless Zinc and its officers, directors, employees, and agents from any claims, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your products or services, any purchases made through your account, or your violation of these Terms or any law.

8. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access to all or part of the Services at any time, with or without notice, including if we believe you have violated these Terms, if your use creates risk or legal exposure for Zinc or others, or if we discontinue the Services. Purchases already in progress may be completed or cancelled at our discretion, and any amounts you owe remain due. Provisions that by their nature should survive termination, including those on payment, ownership, disclaimers, liability, indemnity, and disputes, will survive.

9. Disputes

If you have a dispute with Zinc, please contact us first at support@zinc.com so we can try to resolve it informally. If we cannot resolve it within 60 days, any dispute arising from or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by JAMS in Los Angeles County, California, or by video. Either party may instead bring an individual claim in small claims court, or seek a court order to protect its intellectual property.

You and Zinc each agree to bring claims only on an individual basis and not as a plaintiff or class member in any class, collective, or representative proceeding. If you use the Services as an individual for personal purposes, you may opt out of arbitration by emailing support@zinc.com within 30 days of first accepting these Terms.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any court proceeding permitted under these Terms will take place in the state or federal courts in Los Angeles County, California.

10. General

These Terms, together with our Privacy Policy and any separate agreement you have signed with Zinc, are the entire agreement between you and Zinc about the Services. You may not transfer these Terms without our written consent, but we may transfer them. If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control. We may send you notices by email or through the Services.
